TAKEOVER BID BY ASSUR AFRICA HOLDING FOR UP TO 732,405,689 ORDINARY SHARES OF 50 KOBO EACH IN GUARANTY TRUST ASSURANCE PLC

Assur Africa Holding (AAH) hereby offers to purchase, upon the terms and subject to the conditions described in the Takeover Bid Document, shares representing up to 7.32% of the issued share capital of Guaranty Trust Assurance (GTAssur), on a pro-rata basis from all Qualified Shareholders who have complied with the terms and conditions of the Offer, subject to a maximum of 732,405,689 GTAssur Shares, on the following basis:

For each GTAssur Share  -  N1.76 in cash

The Offer is available to GTAssur Shareholders whose names appear in GTAssur’s register of members on the Qualification date.
